These Terms of Use ("Terms") govern your access to and use of the Snap Count service (the "Service") provided by Lead Catalyst Tech LLP ("we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.
1. Acceptance of Terms
By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Snap Count is a web-based counter application that allows users to create, manage, and track counters. The Service may include:
- Personal counter management
- Organization-based counter sharing and collaboration
- Real-time counter updates
- Counter customization options
- Data synchronization across devices
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
3. User Accounts
3.1 Account Registration
To use certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
3.2 Account Eligibility
You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others, including intellectual property rights
- Transmit any malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service to harass, abuse, or harm others
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Collect or harvest information about other users without their consent
- Use automated systems (bots, scrapers) to access the Service without permission
- Reverse engineer, decompile, or disassemble any part of the Service
5. User Content
5.1 Ownership
You retain ownership of all content you create, upload, or store using the Service, including counters, counter data, and any other information ("User Content"). You are solely responsible for your User Content.
5.2 License to Us
By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display your User Content solely for the purpose of providing and improving the Service. This license continues even after you stop using the Service, except where you delete your User Content or account.
5.3 Content Responsibility
You represent and warrant that:
- You own or have the necessary rights to all User Content
- Your User Content does not violate any third-party rights
- Your User Content complies with all applicable laws and regulations
- Your User Content is not defamatory, obscene, or otherwise objectionable
6. Organization Features
If you use organization features, the following additional terms apply:
- Organization Administrators: Administrators have the ability to invite members, manage organization settings, and remove members. Administrators are responsible for managing their organization appropriately.
- Organization Members: Members can view and interact with counters created for the organization. Members must comply with organization policies set by administrators.
- Shared Content: Content created within an organization may be visible to all organization members. Do not share sensitive or confidential information unless you trust all members of the organization.
- Removal: Administrators may remove members from organizations at any time. We reserve the right to remove users from organizations for violations of these Terms.
7. Subscription Plans
We offer different subscription plans, including:
- Free Plan: Basic counter functionality available to all users
- Organization Plan: Enhanced features including organization management and collaboration tools
We reserve the right to modify subscription plans, features, and pricing at any time. We will provide reasonable notice of any material changes to subscription terms.
8. Intellectual Property
The Service, including its original content, features, functionality, design, and software, is owned by Lead Catalyst Tech LLP and is protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. The Snap Count name and logo are trademarks of Lead Catalyst Tech LLP.
9. Service Availability
We strive to provide reliable and continuous access to the Service. However, we do not guarantee that the Service will be available at all times or free from errors, interruptions, or security vulnerabilities. We may:
- Perform scheduled maintenance that may temporarily interrupt service
- Experience unscheduled downtime due to technical issues
- Modify or discontinue features without prior notice
We are not liable for any loss or damage resulting from Service unavailability or interruptions.
10. Termination
10.1 Termination by You
You may terminate your account at any time by deleting your account through the Service settings or by contacting us. Upon termination, your access to the Service will cease, and we may delete your User Content in accordance with our data retention policies.
10.2 Termination by Us
We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice, if you:
- Violate these Terms or our Privacy Policy
- Engage in fraudulent, illegal, or harmful activities
- Fail to pay any fees owed (if applicable)
- Use the Service in a manner that may harm us or other users
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, secure, or error-free
- Warranties regarding the accuracy, reliability, or quality of the Service
- Warranties that defects will be corrected
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LEAD CATALYST TECH LLP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Service
- Unauthorized access to or alteration of your transmissions or data
- Statements or conduct of any third party on the Service
- Any other matter relating to the Service
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred Indian Rupees (₹100), whichever is greater.
13. Indemnification
You agree to indemnify, defend, and hold harmless Lead Catalyst Tech LLP, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your User Content
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on this page
- Updating the "Last updated" date
- Sending an email notification (for significant changes)
Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India. You agree to submit to the personal jurisdiction of such courts.
Before filing a claim, you agree to try to resolve the dispute informally by contacting us. If we cannot resolve the dispute within 30 days, either party may proceed with formal legal proceedings.
16. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lead Catalyst Tech LLP regarding the Service and supersede all prior agreements and understandings, whether written or oral.
